Terms of Service

1. Preamble & The Subscription Model

These Terms of Service (“Terms”) constitute a legally binding agreement between GoViax Private Limited (“GoViax”, “Company”, “we”, “us”) and the corporate entity or individual identified in the corresponding Service Order / Subscription Proposal (“Client”, “Subscriber”, “you”).

By executing a GoViax Service Order, paying a subscription invoice, or utilizing the dedicated electric vehicle and chauffeur services, you signify full acceptance of these Terms. GoViax provides turn-key, dedicated electric vehicle mobility arrangements on a fixed monthly subscription basis. GoViax is not a public transport aggregator, rideshare broker, or ad-hoc taxi service.

2. Vehicle Dedication & Exclusivity Guarantee

Under each active GoViax subscription:

• Non-Pooling Commitment: The designated Electric Vehicle (EV) is assigned exclusively to the Client. The vehicle shall not be pooled, cross-dispatched, shared with third-party clients, or reassigned for secondary duties during the contracted period.
• Asset Specification: GoViax shall deliver the specific vehicle category (Executive EV Sedan, Executive EV SUV, or Corporate Commuter) detailed in the Service Order in pristine aesthetic and mechanical condition.
• Permanent Stationing: The vehicle shall be stationed at the Client's designated corporate campus, executive residence, or assigned operational depot as set forth in the deployment agreement.

3. Professional Chauffeur Standards & Working Hours

• Operational Duty Cycle: The standard daily duty cycle is defined as a 10-hour or 12-hour continuous window per working day as specified in your Service Order. Extended hours or night duty can be accommodated with prior coordination subject to statutory fatigue management rules.
• Labor Law Compliance: Duty cycles strictly respect the Motor Transport Workers Act, 1961, and local labor statutes governing driver rest intervals and statutory weekly offs.
• Guaranteed Replacement Chauffeur: In the event of scheduled leave, sickness, or emergency absence of the primary chauffeur, GoViax provides a fully briefed, verified replacement chauffeur with zero service interruption.

4. Energy, Depot Charging & Operational Limits

Energy management is integral to the GoViax subscription arrangement:

• Scheduled Overnight Charging: GoViax manages battery replenishment during off-duty nighttime hours at our dedicated charging depots, ensuring 100% operational readiness every morning.
• Standard Operating Boundaries: Standard arrangements cover unlimited daily duty within the contracted metropolitan boundaries and primary airport transit corridors.
• Outstation Travel: Inter-city transit beyond standard operating perimeters requires 24 hours advance notification to program charging stops along authorized fast-charging corridors. Any commercial fast-charging tolls incurred outside standard operating zones are passed through at net cost.

6. Commercial Terms, Billing & Taxes

• Single Consolidated Invoice: The agreed subscription fee is billed on the 1st of each calendar month in advance, payable within fifteen (15) days of invoice date via corporate bank transfer (NEFT/RTGS).
• Zero Surge Guarantee: The base subscription rate remains completely fixed regardless of peak traffic, weather events, or high-demand corporate calendar days.
• Goods and Services Tax (GST): Invoices are subject to applicable GST (currently 18%), with complete input tax credit (ITC) documentation and valid GSTIN reporting.
• Tolls & Parking: FASTag highway tolls and commercial airport parking fees incurred during executive transport are passed through at actual net cost with supporting digital audit receipts.

7. Client Obligations & Authorized Use

The Client agrees to ensure that:

• Vehicles are utilized solely for lawful corporate, executive, and guest transportation.
• Passengers treat the assigned chauffeur with dignity and refrain from directing the chauffeur to violate Indian traffic laws (such as exceeding posted speed limits or driving in restricted lanes).
• No hazardous, flammable, or illegal substances are transported in the vehicle cabin or trunk.
• Designated corporate parking is provided during scheduled daytime campus stops.

8. Term, Renewal & Orderly Termination

Subscription agreements run for an initial commitment period of 12, 24, or 36 months as specified in the Service Order. Either party may terminate the arrangement by providing sixty (60) days written notice prior to the expiration of the current term. Immediate termination for material breach is enforceable if an uncured default persists for more than fifteen (15) business days following written notice.

9. Force Majeure & Limitation of Liability

Neither party shall be liable for service delays or non-performance caused by circumstances beyond reasonable control, including civil commotion, sudden civic bandhs, extreme flooding/natural disasters, or unexpected state-wide power grid disruptions. GoViax's total aggregate liability arising out of any subscription arrangement shall not exceed the fees paid by Client during the three (3) calendar months preceding the claim event.
